These Tеrmѕ mау bе uрdаtеd bу SavaPay at any time at their sole dіѕсrеtіоn. SavaPay mау send уоu nоtісеѕ оf сhаngеѕ tо thе wеbѕіtе or thе Tеrmѕ.

Eligibility

To be eligible to use the SavaPay Services, you must be at least 18 years old, and reside in the United States.

Terms

We may amend or modify this Agreement at any time by posting the revised agreement on the SavaPay Application. The Revised Agreement shall be effective as of the time it is posted but will not apply retroactively. Your continued use of the Services after the posting of a Revised Agreement constitutes your acceptance of such Revised Agreement. If you do not agree with any such modification, your sole and exclusive remedy is to terminate your use of the Services and close your account.

Registration of SavaPay Account

You must register for a SavaPay account to use the SavaPay Services. By using a SavaPay Account you agree and represent that you will use SavaPay only for yourself, and not on behalf of any third party. You are fully responsible for all activity that occurs under your SavaPay Account. We may, in our sole discretion, refuse to open a SavaPay Account, or suspend or terminate any SavaPay Account.

Identity Verification (KYC)

During registration for your SavaPay Account, you agree to provide us with the information we request for the purposes of identity verification and the detection of money laundering, terrorist financing, fraud, or any other financial crimes and permit us to keep a record of such information. You will need to complete certain verification procedures before you are permitted to use the SavaPay Services. Your access to one or more SavaPay Services and the limits that apply to your use of the SavaPay Services, may be altered as a result of information collected about you on an ongoing basis. The information we request may include certain personal information, including, but not limited to, your name, address, telephone number, e-mail address, date of birth, taxpayer identification number, a government identification, and information regarding your bank account (such as the name of the bank, the account type, routing number, and account number) and in some cases (where permitted by law), special categories of personal data, such as your biometric information. In providing us with this or any other information that may be required, you confirm that the information is accurate and authentic. You agree to keep us updated if any of the information you provide changes. You authorize us to make inquiries, whether directly or through third parties, that we consider necessary to verify your identity or protect you and/or us against fraud or other financial crime, and to take action we reasonably deem necessary based on the results of such inquiries. When we carry out these inquiries, you acknowledge and agree that your personal information may be disclosed to credit reference and fraud prevention or financial crime agencies and that these agencies may respond to our inquiries in full. This is an identity check only and should have no adverse effect on your credit rating. Further, you authorize your wireless operator (AT&T, Sprint, T-Mobile, US Cellular, Verizon, or any other branded wireless operator) to use your mobile number, name, address, email, network status, customer type, customer role, billing type, mobile device identifiers (IMSI and IMEI) and other subscriber status details, if available, solely to allow verification of your identity and to compare information you have provided to SavaPay with your wireless operator account profile information for the duration of the business relationship. Access to the application is permitted on a temporary basis, and we reserve the right to withdraw or amend the services without notice. We will not be liable if for any reason this application is unavailable at any time or for any period. Periodically, we may restrict access to some parts or all of this application.

Member account, password, and security

Our services require "you", the user, to open an account. So all users must make sure they complete the registration process by providing necessary details - as prompted by the applicable registration form/s. Users will also pick a password and a username. You are responsible for the maintenance of your username and password of your account. All users agree to notify SavaPay immediately of any illegal use of your account or any other security breach.

Prohibitions

The following items are prohibited and will be addressed with immediate suspension of your account. While using SavaPay, you are not allowed to:

Commit or encourage a criminal offense in any way that breaches any applicable local, national or international law or regulation.
Transmit or distribute a virus, Trojan, worm, logic bomb or any other material which is malicious, technologically harmful, in breach of confidence or in any way offensive or obscene; hack into any aspect of the service.
Corrupt data.
Infringe upon the rights of any other person's proprietary rights.
Send any unsolicited advertising or promotional material, commonly referred to as "spam".
Conduct yourself in any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect.
Use SavaPay for the purpose of harming or attempting to harm minors in any way.
To send, knowingly receive, upload, download, use or re-use any material which does not comply with our content standards below.

Breaching this provision would constitute a criminal offense and SavaPa will report any such breach to the relevant law enforcement authorities and disclose your identity to them.

We will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of SavaPay and its services.

User representations

By making use of SavaPay, you warrant and represent that: (1) all registration information you submit is accurate, valid, complete and current; (2) you agree to comply with these Terms of Use, and you have the legal capacity; (3) you are not a minor in the jurisdiction in which you reside; (4) you will maintain the accuracy of such information and promptly update us on any changes; (5) you will not access SavaPay using bots, scripts or the like; (6) you will not make use of SavaPay for any unauthorized or illegal purposes; and (7) your use of this app will not violate any applicable regulation or law.

If you provide any information that is inaccurate, untrue, incomplete, or not current, we reserve the right to terminate or suspend your account and refuse all and any current or future use of the same (or any portion thereof).

Credit Transactions, Purchase & Sale Transactions

Loading Funds

You can load funds into your Wallet from a valid bank account via ACH transfer. Your balance is in a pending state and will not be credited to your Wallet until after the bank transfer has cleared, usually within 5 business days. We may debit your linked bank account as soon as you initiate payment. The name on your linked bank account and your wire transfer must match.

Transactions on the Platform

When you purchase or sell digital currency on the SavaPay platform, you are buying digital currency from SavaPay and selling digital currency to SavaPay. You can purchase digital currency using a valid bank account in the name that matches the name on your SavaPay Account. A purchase of digital currency using a valid payment method generally will initiate on the business day we receive your instructions. Purchased digital currency will be deposited in your SavaPay Wallet as soon as funds have settled to SavaPay, which in the case of a bank account may take up to five business days. You can sell digital currency and instruct SavaPay to deposit funds into your verified linked bank account. digital currency purchases and sales are collectively referred to herein as “digital currency Transactions”.

Fees

In general, SavaPay makes money when you transact, purchase or sell digital currency on our platform. By using SavaPay you agree to pay all applicable fees. SavaPay reserves the right to adjust its pricing and fees and any applicable waivers at any time. We will always notify you of the pricing and fees which apply to your transaction when you authorize the transaction and in each receipt we issue to you. Bank fees charged to SavaPay are netted out of transfers to or from SavaPay. You are responsible for paying any additional fees charged by your bank. We will not process a transfer if associated bank fees exceed the value of the transfer. You may be required to deposit additional USD to cover bank fees if you desire to complete such a transfer.

Purpose

You warrant and represent that your use of the Services is solely to send and receive digital currency, and make payments for goods and services as permitted under these Terms.

Limits

The amount of digital currency you can send or receive may be restricted based on a risk assessment and the amount of verification on your user account. Your user profile will tell you what is required to increase your limits. For questions, please contact Client Services at hello@SavaPay.io.

Account Review

We review and monitor all transactions for risk, fraud, money laundering and terrorist financing activity. For certain potentially high-risk transactions, we will place a hold on the digital currency, lock the account, conduct a review, may contact you for additional information, then either clear or cancel the transaction. In order to prevent financial loss to you or to us, we may place a delay on a transaction for a period of time, refuse to process a transaction, or deactivate your account. If we have reason to suspect that you are using the services to violate local, state or federal laws, we may share information about you with law enforcement agencies.

Transactions

When you send digital currency, the receiver will accept it. The transaction is similar to a cash transaction. You agree that you will not hold us liable for any damages resulting from sending digital currency to the wrong user, or sending the wrong amount of digital currency to any user. This is your responsibility. To be eligible for a transaction review due to fraud, money laundering, or anything that may violate state or local laws, you must submit a request for a refund review in writing to hello@SavaPay.io. We cannot guarantee that a refund review will be approved.

Intellectual Property, Software And Content

The intellectual property rights in all software and content (including photographic images) made available to you on or through this application remains the property of SavaPay or its licensors and are protected by copyright laws and treaties around the world. All such rights are reserved by SavaPay and its licensors. You may store, print and display the content supplied solely for your own personal use. You are not permitted to publish, manipulate, distribute or otherwise reproduce, in any format, any of the content or copies of the content supplied to you or which appears on this application nor may you use any such content in connection with any business or commercial enterprise.

Disclaimer Of Liability

The material displayed on this platform is provided without any guarantees, conditions or warranties as to its accuracy. Unless expressly stated to the contrary to the fullest extent permitted by law, SavaPay, its suppliers, content providers, and advertisers, hereby expressly exclude all conditions, warranties and other terms which might otherwise be implied by statute, common law or the law of equity and shall not be liable for any damages whatsoever, including but without limitation to any direct, indirect, special, consequential, punitive or incidental damages, or damages for loss of use, profits, data or other intangibles, damage to goodwill or reputation, or the cost of procurement of substitute goods and services, arising out of or related to the use, inability to use, performance or failures of this platform, the SavaPay application, or the linked websites and any materials posted thereon, irrespective of whether such damages were foreseeable or arise in contract, tort, equity, restitution, by statute, at common law or otherwise. This does not affect SavaPay's liability for death or personal injury arising from its negligence, fraudulent misrepresentation, misrepresentation as to a fundamental matter or any other liability which cannot be excluded or limited under applicable law.

Invalidity

If any part of the Terms of Service is unenforceable (including any provision in which we exclude our liability to you) the enforceability of any other part of the Terms of Service will not be affected by all other clauses remaining in full force and effect. So far as possible where any clause/sub-clause or part of a clause/sub-clause can be severed to render the remaining part valid, the clause shall be interpreted accordingly. These terms of use and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of Georgia.

Entire Agreement

The above Terms of Service constitute the entire agreement of the parties and supersede any and all preceding and contemporaneous agreements between you and SavaPay. Any waiver of any provision of the Terms of Service will be effective only if in writing and signed by a Director of SavaPay.
